These Terms of Use ("Terms") govern your access to and use of seasideoperations.com (the "Site"), operated by Seaside Operations Inc. ("Seaside Operations," "we," "us," or "our"). By accessing or using the Site you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.
1. Informational content only; no professional advice
The Site, including the Journal, publishes general information about business operations, technology, marketing, and related subjects. This content is provided for general informational and educational purposes only. It is not business, legal, financial, tax, accounting, or other professional advice, and it does not take into account your particular circumstances. You should consult a qualified professional before acting on anything you read here.
Reading the Site, submitting the contact form, or corresponding with us does not create a consulting, advisory, fiduciary, or other professional relationship between you and Seaside Operations. Any services we provide are governed exclusively by a separate written agreement signed by both parties, and nothing on the Site forms part of such an agreement unless that agreement expressly says so.
2. Accuracy of information
We take care to source statistics and cite them, and we try to keep content current. However, information can become out of date, sources can revise their figures, and we can make mistakes. We make no representation or warranty that any content on the Site is accurate, complete, or current. Third-party data cited on the Site belongs to its publishers and is subject to their terms and corrections. 3. Permitted use and intellectual property

You may not otherwise reproduce, republish, distribute, modify, create derivative works from, or commercially exploit any content without our prior written permission. You may not use automated means to scrape the Site in a way that burdens its infrastructure, and you may not use Site content to train machine-learning models without our written consent.
4. Acceptable use
You agree not to use the Site in any way that is unlawful, that infringes the rights of others, that interferes with the Site's operation or security, or that attempts to gain unauthorized access to any system. You agree not to submit unlawful, defamatory, infringing, or malicious content through the contact form, and not to impersonate any person or entity.

Information you send through the contact form or by email is handled as described in our Privacy Policy. Please do not send confidential or proprietary information until we have agreed in writing to receive it. Unless a written agreement provides otherwise, ideas, suggestions, or feedback you send us are non-confidential, and you grant us the right to use them without obligation to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SITE WILL MEET YOUR REQUIREMENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SEASIDE OPERATIONS INC. OR ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE OR ANY CONTENT, OR YOUR RELIANCE ON ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THIS LIMITATION DOES NOT APPLY TO SERVICES PROVIDED UNDER A SEPARATE WRITTEN AGREEMENT, WHICH IS GOVERNED BY ITS OWN TERMS.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the exclusions and limitations above apply to the fullest extent the law permits.
9. Indemnification
You agree to defend, indemnify, and hold harmless Seaside Operations Inc. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.
10. Governing law and disputes
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any such dispute will be brought exclusively in the state or federal courts located in the State of California, and you consent to their personal jurisdiction. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
11. Changes to the Site and these Terms
We may change, suspend, or discontinue any part of the Site at any time without notice. We may revise these Terms by posting an updated version with a new "Last updated" date. Your continued use of the Site after a revision means you accept the revised Terms.
12. General
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect and the unenforceable provision will be modified to the minimum extent necessary. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Site. You may not assign these Terms; we may assign them to a successor. Headings are for convenience only.
